Official Game Rules & Legal Compliance Statement

SECTION 1: Game Show Summary
Title: Gem City Dice
Format: Live and/or online game show
Participants: 2–5 players per game
Prize Range: $500 to $50,000 (funded by sponsor)
Eligibility: Participants must be age 18 or older
SECTION 2: Game Rules
Objective: Be the last player with remaining chips to win the game.
Starting Conditions:
- 5 players maximum
- Each player receives 20 chips (or fake currency) at no cost
- The youngest player selects a target color to begin
- Players take turns in a clockwise direction
Gameplay Items:
- 1x D20 Dice
- Gem City Dice Table
- 100 non-monetary chips
- Prize fund (offered and distributed by Parham & Partners LLC)
Dice Faces Include:
- 5 Colors (Red, Blue, Yellow, Purple, Green)
- 1x +1 Chip (roller adds 1 chip to pot)
- 2x +2 Chips (roller adds 2 chips to pot)
- 1x RA (Roll Again)
- 1x OP+1 (all other players add 1 chip to pot)
- 10x “Gem City” Logo (no action)
Pot Contributions Based on Player Count:
- 5 players: 2 chips each
- 4 players: 3 chips each
- 3 players: 3 chips each
- 2 players: 5 chips each
Elimination Rule:
If a player cannot meet a chip contribution (initial pot, dice action, or side bet), they are removed from the game.
Side Bets:
- Allowed only if agreed upon by all involved players
- Wagers must use provided chips/fake currency only
- No real money may be used or exchanged
SECTION 3: Use of Fake Currency
- Gem City Dice uses non-monetary chips/fake cash for all gameplay actions.
- Players do not purchase, exchange, or buy back chips.
- Chips have no cash value and are used solely for game progression.
- No entry fee or buy-in is required to participate.
- All prizes are pre-funded and distributed by Parham & Partners LLC.
SECTION 4: Legal Compliance with Texas Law
Governing Law: Texas Penal Code §§ 47.01–47.02
To avoid classification as illegal gambling in Texas, a game must not include all three of the following:

Key Compliance Point:
Gem City Dice does not involve “consideration.” Players are never required to risk money, property, or anything of value to enter or participate.
Therefore, under Texas law, Gem City Dice does not meet the definition of illegal gambling, as it fails one of the three required components: consideration.
SECTION 5: Disclaimers & Disclosures
- This is a game show, not a lottery, sweepstakes, or gambling activity.
- Participants are selected and invited without financial obligation.
- All prizes are paid directly by the host organization (Parham & Partners LLC) within 1–2 weeks of winning.
- Rules and participant conduct may be monitored for fairness and legal compliance.
- Game is not affiliated with or regulated by the Texas Lottery Commission.
SECTION 6: Participant Acknowledgment
All participants will sign a release and agreement acknowledging:
- They understand the gameplay
- They will not use real money in any form
- They will abide by show rules and conduct standards
- They are 18 years of age or older
